Terms & Conditions
These Terms & Conditions ("Terms") govern the services provided by Dream Spire Trading (operating as "DreamspireX", SSM Registration No. 202503136261), a business registered in Malaysia ("we", "us", "our"). By engaging our services, requesting a quotation, or making a payment, you ("the Client") agree to these Terms.
1. Services
We provide digital and software services, including but not limited to web design, custom software development, e-commerce and AI-integrated platforms, and IT consulting. The specific scope, deliverables, and timeline of each engagement will be set out in a written quotation or proposal agreed between us and the Client.
2. Quotations & Pricing
- All prices are quoted in Malaysian Ringgit (MYR) unless otherwise stated.
- Quotations are valid for 30 days from the date of issue unless stated otherwise.
- Prices displayed on our website are starting prices for guidance; the final price depends on project scope.
- Work outside the agreed scope ("out-of-scope work") will be quoted and charged separately.
3. Payment Terms
- A deposit of 50% of the total project fee is required to confirm and commence work.
- The remaining balance is due upon delivery, prior to the final handover of files or deployment to production.
- Larger projects may be invoiced in stages according to agreed milestones.
- Accepted payment methods include bank transfer, FPX online banking, TNG eWallet, WeChat Pay, and credit/debit cards.
- Invoices are payable within 7 days of issue unless otherwise agreed. Late payments may result in suspension of work.
4. Client Responsibilities
The Client agrees to provide, in a timely manner, all content, materials, access, and feedback reasonably required for us to perform the services. Delays caused by the Client may affect the project timeline and are not our responsibility.
5. Revisions & Approval
Each engagement includes a reasonable number of revision rounds as specified in the quotation. Additional revisions beyond the agreed scope may be charged separately. Deliverables are considered approved once the Client confirms acceptance in writing, or after 7 days without written objection following delivery.
6. Intellectual Property
Ownership of the final deliverables transfers to the Client upon receipt of full payment. Until full payment is received, all work remains our property. We may retain the right to display completed work in our portfolio unless the Client requests otherwise in writing. Third-party assets (e.g. licensed fonts, plugins, stock media) remain subject to their respective licences.
7. Third-Party Services
Projects may rely on third-party services (e.g. hosting, domain registrars, payment gateways, APIs). Fees charged by such third parties are the responsibility of the Client and are not included in our service fees unless expressly stated.
8. Limitation of Liability
To the maximum extent permitted by law, our total liability arising from any engagement shall not exceed the total fees paid by the Client for that engagement. We are not liable for any indirect, incidental, or consequential losses, including loss of profit, data, or business.
9. Termination
Either party may terminate an engagement with written notice. In the event of termination, the Client shall pay for all work completed up to the date of termination. Deposits are subject to our Refund Policy.
10. Governing Law
These Terms are governed by the laws of Malaysia. Any disputes shall be subject to the exclusive jurisdiction of the courts of Malaysia.
